U. S. Steel Announces Annual Meeting Results

United States Steel Corporation (NYSE: X) has announced the preliminary results of two proposals voted on at its Annual Meeting of Stockholders held today in Pittsburgh.

Preliminary vote totals show that 96.2 percent of the votes cast by U. S. Steel shareholders approved the election of all five director nominees to three-year terms. The elected directors are Dr. Shirley Ann Jackson, Dan D. Sandman, John W. Snow, Thomas J. Usher and Douglas C. Yearly.

Stockholders also elected PricewaterhouseCoopers LLP (PwC) as independent accountants. Preliminary vote totals show PwC was approved by 95.5 percent of the votes cast.

In a Board of Directors meeting held immediately after the Annual Meeting, the Board elected the following Principal Officers of U. S. Steel: Thomas J. Usher, Chairman of the Board of Directors & Chief Executive Officer and President; Roy G. Dorrance, Vice Chairman and Chief Operating Officer; John P. Surma, Vice Chairman & Chief Financial Officer and Treasurer; Dan D. Sandman, Vice Chairman and Chief Legal & Administrative Officer, General Counsel and Secretary; Gretchen R. Haggerty, Senior Vice President and Controller; and John H. Goodish, President, U. S. Steel Kosice, s.r.o.

The Company also reported that the previously announced retirements of Robert M. Hernandez and Edward F. Guna will be effective May 31, 2002, after nearly 34 and 32 years of service, respectively. Mr. Hernandez is the former Vice Chairman, Chief Financial Officer and Board member of USX Corporation and has been serving as Assistant to the President since the separation of U. S. Steel and Marathon Oil at year-end 2001. Mr. Guna, who previously served as Vice President and Treasurer of USX, has been serving on the transition team responsible for closing out the financial affairs of USX since January 1, 2002.

Also announced was the May 31 retirement of Albert E. Ferrara, Jr., Senior Vice President & Treasurer of U. S. Steel. Mr. Ferrara will retire with 30 years of service. In connection with Mr. Ferrara's retirement, John P. Surma has assumed the additional title of Treasurer. John P. Connelly, Vice President-Strategic Planning & Business Development, will report directly to Mr. Surma following Mr. Ferrara's retirement.
